Terms of Service

1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and Nectory ("Nectory," "we," "us," or "our") governing your access to and use of the Nectory website, applications, documentation tools, dashboards, public wiki pages, APIs, and related services (collectively, the "Service").
By creating an account, accessing the Service, publishing a wiki, uploading content, or otherwise using Nectory, you confirm that you have read, understood, and agree to these Terms. If you use the Service on behalf of a company, organization, community, team, or other entity, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you may not access or use the Service.
2. The Service
Nectory provides tools for creating, managing, publishing, and analyzing documentation sites and community wikis. The Service may include hosted pages, private dashboards, media uploads, collaboration features, comments, feedback widgets, analytics, billing tools, integrations, webhooks, and administrative controls.
We may add, remove, suspend, or change features from time to time. We will try to provide notice before making material changes that significantly reduce core functionality for active paid users, but we cannot guarantee that every feature will remain available indefinitely.
3. Eligibility and Accounts
You must be at least 13 years old to use Nectory. If you are under the age of majority where you live, you may use the Service only with involvement and consent from a parent or legal guardian.
You are responsible for maintaining accurate account information and for keeping your login credentials, devices, sessions, two-factor authentication codes, and recovery methods secure. Activity under your account is your responsibility unless caused by our breach of these Terms.
You must notify us promptly if you believe your account has been compromised or used without authorization.
- Do not share account credentials with unauthorized users.
- Do not create accounts using false, misleading, or unauthorized information.
- Do not attempt to access another person's account, organization, space, wiki, billing portal, or private content without permission.
4. Organizations, Members, and Permissions
The Service lets users create or join organizations, invite members, assign roles, and manage spaces. Organization owners and administrators are responsible for configuring permissions, removing users who should no longer have access, and monitoring activity within their organization.
If your account is added to an organization, your use of that organization may be controlled by the organization's owners or administrators. They may view, manage, export, delete, or restrict access to organization content and member activity as allowed by the Service.
5. User Content and Ownership
You retain ownership of documentation, wiki pages, comments, feedback, text, images, files, media, logos, custom CSS, domain settings, webhook configuration, and other material you submit to or publish through Nectory ("User Content").
You grant Nectory a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, display, publish, and otherwise use User Content only as needed to operate, secure, support, improve, and provide the Service. This license continues for as long as the User Content remains in the Service or as long as needed for backups, legal compliance, security, or dispute resolution.
You are responsible for your User Content and for ensuring that you have the rights and permissions needed to submit, publish, and share it. Nectory does not claim ownership of your User Content and does not sell your User Content.
6. Public Content
If you publish a space or page publicly, that content may be accessible to anyone on the internet, indexed by search engines, shared by visitors, cached by browsers or third-party services, and retained by others even after you later edit or remove it.
You should not publish confidential, sensitive, regulated, or private information unless you have the rights to do so and understand the consequences of making it public.
7. Acceptable Use
You may use Nectory only in compliance with these Terms and applicable laws. You may not use the Service in a way that harms Nectory, our users, visitors, infrastructure, service providers, or the public.
- Do not upload, publish, transmit, or link to unlawful, abusive, harassing, defamatory, deceptive, fraudulent, exploitative, or harmful content.
- Do not publish malware, phishing pages, credential collection forms, scams, malicious links, or content intended to compromise systems or accounts.
- Do not infringe intellectual property, privacy, publicity, or other rights of others.
- Do not interfere with, overload, probe, scan, scrape, crawl, reverse engineer, or bypass security or rate limits except as expressly authorized by us in writing.
- Do not use the Service to send spam, unsolicited messages, or abusive webhook traffic.
- Do not attempt to resell, sublicense, or provide Nectory as a competing hosted service without written permission.
- Do not use the Service for activities that are subject to special legal or regulatory requirements unless you are solely responsible for meeting those requirements.
8. Moderation, Enforcement, and Abuse Reports
We may review, remove, restrict, disable, suspend, or terminate content, spaces, organizations, accounts, webhooks, domains, or access when we reasonably believe there is a violation of these Terms, a security risk, legal exposure, abuse report, payment issue, or operational risk.
We are not obligated to monitor all User Content and do not endorse User Content published through the Service. If you believe content hosted on Nectory violates these Terms or your rights, contact us at hello@nectory.app with enough detail for us to review the report.
9. Billing, Plans, and Payment
Some features require a paid plan. Paid plans, prices, limits, billing periods, and included features are shown at checkout or in the billing area and may change from time to time. Unless stated otherwise, paid subscriptions renew automatically until canceled.
Payments are processed by Stripe or another payment processor we designate. You authorize us and our payment processor to charge the payment method associated with your account for subscription fees, usage-based fees, taxes, and other charges you authorize.
If payment fails, we may retry the charge, downgrade your plan, limit paid features, suspend access, or terminate the subscription. You are responsible for all taxes, duties, and government charges related to your purchase except taxes based on our income.
10. Cancellation, Downgrades, and Refunds
You may cancel a paid subscription through the billing portal or another method we make available. Cancellation generally takes effect at the end of the current billing period unless the checkout, invoice, or billing page states otherwise.
Downgrading or canceling may reduce available features, limits, storage, analytics history, custom domains, webhooks, or access to paid functionality. You are responsible for exporting or preserving content before a downgrade or cancellation affects your account.
Unless required by law or expressly stated in writing, fees are non-refundable and we do not provide prorated refunds for unused time in a billing period.
11. Third-Party Services and Integrations
The Service may integrate with third-party services such as payment processors, hosting providers, storage providers, analytics providers, OAuth providers, email providers, webhooks, custom domains, and external tools. Your use of those services may be governed by separate terms and privacy policies.
Nectory is not responsible for third-party services, third-party content, or destinations reached through external links or integrations. We may disable integrations that create security, legal, operational, or abuse risks.
12. Security and Backups
We use reasonable technical and organizational measures designed to protect the Service. However, no system is completely secure or error-free. You are responsible for using strong passwords, enabling available security features, managing permissions, and keeping your own backups of important content.
We may maintain backups for operational continuity, disaster recovery, security, and legal purposes. Backups are not guaranteed to be available to restore individual user content.
13. Availability and Support
We aim to keep the Service available, but we do not guarantee uninterrupted, secure, or error-free operation. The Service may be unavailable because of maintenance, updates, network issues, third-party provider outages, abuse mitigation, force majeure events, or other causes beyond our reasonable control.
Support availability may vary by plan. We may provide support through email, in-app messages, documentation, or other channels we choose.
14. Intellectual Property
Nectory and its software, designs, interfaces, logos, trademarks, service marks, documentation, workflows, and other materials are owned by Nectory or its licensors and are protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
You may provide comments, bug reports, ideas, suggestions, or other feedback. We may use feedback without restriction or compensation to you, provided we do not claim ownership of your User Content merely because it was submitted as feedback.
15. Copyright and Intellectual Property Complaints
If you believe content on Nectory infringes your copyright or other intellectual property rights, contact us at hello@nectory.app with the relevant URL, a description of the claimed work, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement that the information in your notice is accurate.
We may remove or disable access to content that we believe may infringe rights and may terminate repeat infringers where appropriate.
16. Confidentiality
You may receive non-public information about Nectory, including roadmap details, private beta features, pricing, security information, or business information. You may use that information only to evaluate or use the Service and may not disclose it without our permission unless required by law.
User Content remains subject to the visibility and permission settings you choose, but you should not submit confidential information unless the Service and your plan are appropriate for that use.
17. Termination
You may stop using the Service at any time. We may suspend or terminate your account, organization, subscription, content, domains, integrations, or access if you violate these Terms, create risk or legal exposure, fail to pay fees, abuse the Service, or if we discontinue the Service.
After termination, your right to use the Service ends immediately. Sections that by their nature should survive termination, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, and dispute provisions, will survive.
18. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, Nectory disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, reliability, accuracy, and security.
Nectory does not warrant that the Service will meet your requirements, preserve all data, prevent all unauthorized access, operate without interruption, or be free from errors, vulnerabilities, or harmful components.
19. Limitation of Liability
To the maximum extent permitted by law, Nectory will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, goodwill, or substitute services, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, Nectory's total liability for any claim relating to the Service or these Terms will not exceed the greater of the amount you paid to Nectory for the Service in the three months before the event giving rise to the claim or 100 U.S. dollars.
20. Indemnity
You will defend, indemnify, and hold harmless Nectory from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your User Content, your use of the Service, your violation of these Terms, your violation of law, or your infringement of another person's rights.
21. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify users, such as posting the updated Terms, changing the effective date, sending email, or displaying an in-app notice.
Updated Terms become effective when posted unless a later date is stated. Your continued use of the Service after the effective date means you accept the updated Terms.
22. Governing Law and Disputes
These Terms are governed by the laws of the United States and the state where Nectory is operated, without regard to conflict-of-law rules, except where applicable law requires otherwise.
Before filing a formal claim, you agree to contact us at hello@nectory.app and try to resolve the dispute informally. If a dispute cannot be resolved informally, it will be handled in a court of competent jurisdiction unless another process is required by applicable law.
23. Miscellaneous
These Terms, together with any plan terms, order terms, product terms, and policies referenced here, are the entire agreement between you and Nectory regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect.
You may not assign these Terms without our permission. We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or by operation of law. Our failure to enforce a provision is not a waiver of our right to enforce it later.
